Client Responsibilities

Compliance with Laws

Fees and Payment

Payment Terms
Invoices will be issued upon completion of services or as per a pre-agreed schedule. Payment is due within 30 days of the invoice date.

Late Payment
Late payments may incur a late fee of 5% per month or the maximum allowed by law, whichever is less.

Changes in Fees
We reserve the right to modify our fees with 60 days' notice to the client.

Confidentiality

Client Data
We will treat all client data and information as confidential and will not disclose it to any third party without the client’s written consent, except as required by law.

Non-Disclosure Agreement
Both parties may agree to execute a separate non-disclosure agreement to protect confidential information.

Limitation of Liability

No Warranty
We do not guarantee that our services will be error-free or uninterrupted. All services are provided "as is.”

Limitation of Damages
In no event shall we be liable for any indirect, incidental, special, or consequential damages arising from the use of our services, even if we have been advised of the possibility of such damages.

Maximum Liability
Our maximum liability for any claims arising out of or relating to this Agreement shall not exceed the amount paid by the client for the specific service giving rise to the claim.

Termination

Termination by Client
The client may terminate this Agreement at any time by providing 90 days' written notice.

Termination by Us
We reserve the right to terminate this Agreement for any reason, with or without notice.

Effect of Termination
Upon termination, all outstanding fees become immediately due, and the client must return or destroy any proprietary materials.

Intellectual Property Rights

Ownership
All intellectual property created or used by us during the provision of services remains our exclusive property unless otherwise agreed in writing.

Client Data
The client retains all rights to their data and any custom developments specifically commissioned and paid for.

Governing Law

This Agreement shall be governed by and construed in accordance with the laws of Virginia, USA., without regard to its conflict of law principles.

Dispute Resolution

Any disputes arising out of or relating to this Agreement shall be resolved through binding arbitration in Virginia, USA., or as otherwise mutually agreed upon in writing.

Amendments

We may amend these terms and conditions from time to time. The most current version will be posted on our website, and continued use of our services indicates acceptance of the updated terms.

Entire Agreement

This Agreement constitutes the entire understanding between the parties regarding the services provided and supersedes all prior agreements or understandings, oral or written.
